1. Agreement to Terms

By accessing and using AlgoBuilder ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and AlgoBuilder. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

AlgoBuilder is a web-based platform that enables users to create, configure, and generate MetaTrader 5 (MT5) Expert Advisors through a visual interface and code generation system.

The Service includes:

• Visual Expert Advisor builder interface
• Code generation for MetaTrader 5 platform
• Backtesting capabilities
• AI-assisted strategy generation
• Cloud storage of user-created strategies
• Premium features available through paid subscription

3. User Accounts and Registration

3.1 Account Creation

To use AlgoBuilder, you must create an account by signing in with Google Authentication. You agree to provide accurate, current, and complete information during the registration process.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate. You may delete your account at any time through the account settings.

4. Subscription Plans and Payments

4.1 Free and Pro Tiers

AlgoBuilder offers both free and paid subscription plans ("Pro"). The free tier includes limited usage quotas, while the Pro tier provides enhanced limits and additional features.

4.2 Subscription Fees

Pro subscriptions are billed monthly at the rate displayed on the pricing page. All fees are in USD and are non-refundable except as required by law or as specified in our Refund Policy.

4.3 Automatic Renewal

Your Pro subscription will automatically renew each month unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

4.4 Payment Processing

Payments are processed through third-party payment providers (NOWPayments for cryptocurrency). By making a payment, you agree to the terms and conditions of the applicable payment provider.

4.5 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will not affect existing subscribers until their next renewal period, and we will provide at least 30 days' notice of any price increases.

5. Usage Limits and Restrictions

5.1 Fair Use Policy

You agree to use the Service in accordance with the usage limits specified for your subscription tier. Excessive use that exceeds reasonable limits may result in temporary suspension or additional charges.

5.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scripts) to access the Service without authorization
• Resell, redistribute, or sublicense access to the Service
• Upload malicious code, viruses, or any harmful content
• Interfere with or disrupt the Service or servers
• Violate any applicable laws or regulations

6. Intellectual Property Rights

6.1 AlgoBuilder's IP

The Service, including all software, code, designs, trademarks, and content, is owned by AlgoBuilder and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 User-Generated Content

You retain all intellectual property rights to the Expert Advisors and strategies you create using AlgoBuilder. However, by using the Service, you grant us a limited, worldwide, royalty-free license to store, process, and display your content solely for the purpose of providing the Service.

6.3 Generated Code

The MQ5 code generated by AlgoBuilder is provided to you for use in your own trading activities. You may use, modify, and distribute the generated code as you see fit, but you acknowledge that the code generation templates and algorithms remain our proprietary property.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any defects or errors will be corrected
• The Service will meet your specific requirements

8. Trading Risk Disclaimer

IMPORTANT: Trading forex, cryptocurrencies, and other financial instruments carries a high level of risk and may not be suitable for all investors. Past performance is not indicative of future results.

AlgoBuilder is a tool for creating trading algorithms. We do not provide investment advice, financial advice, or trading recommendations. You are solely responsible for:

• Testing and validating any Expert Advisors you create
• Understanding the risks associated with automated trading
• Any financial losses incurred from using Expert Advisors created with our Service
• Ensuring compliance with applicable trading regulations in your jurisdiction

You should never trade with money you cannot afford to lose. Always conduct thorough backtesting and forward testing before deploying any Expert Advisor in a live trading environment.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALGOBUILDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or the like that may be transmitted through the Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
• Trading losses resulting from Expert Advisors created using the Service

IN NO EVENT SHALL ALGOBUILDER'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless AlgoBuilder and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Data Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and usage practices.

12. Third-Party Services

The Service may contain links to third-party websites or services (e.g., MetaTrader 5, payment processors) that are not owned or controlled by AlgoBuilder. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AlgoBuilder operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except where prohibited by law.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
